Terms of service

Effective date: 2 November 2026

These terms cover your use of ReminderClerk, an application for Shopify stores that reminds customers to pay unpaid orders. ReminderClerk is operated by MB Croppick, company code 308104331, registered office Krivių g. 5, LT-01204 Vilnius, Lithuania ("ReminderClerk", "we", "us"). By installing or using the app, you agree to what follows. Questions: support@reminderclerk.com.

The short version

  • You install ReminderClerk, choose which unpaid orders to chase and when, and it has Shopify send each customer a reminder in your store's name until the order is paid.
  • It never takes a payment or charges a card. It writes to your store only to send reminders, tag orders, give non-English orders Due on receipt terms, and cancel orders when you switch cancelling on or ask it to.
  • It reads every order again just before each reminder and sends only if the order is still unpaid. It can only know what your Shopify store records.
  • One plan: $14.99 a month, billed through Shopify, with a 14-day trial.
  • Your data stays yours. Uninstall and it is deleted.

Who can use ReminderClerk

ReminderClerk is a business tool for Shopify merchants. To use it you need an active Shopify store, and you must be authorised to install applications on it and to accept these terms on behalf of the business that owns it. It is not intended for consumers or for anyone under 18.

What the service does

ReminderClerk reads the unpaid orders of your store's last 60 days and the quotes (draft orders) whose invoice you sent, and, for the kinds you choose, reminds the customer on the days you set — by default 3, 7 and 14 days after the order — at the hours and on the days you set, in the language of the order. Shopify sends each reminder as its own "Order invoice" or "Draft order invoice" email, with your subject and text. Each reminder links to a payment page with your bank details, a bank QR code where the order's currency allows one, and an "I've already paid" button. Reminders stop when the order is paid, when the customer says they paid, when you choose "Don't remind", or after the last one.

What the app writes in your store. It sends Shopify's invoice emails; adds and removes the tags no-reminder and customer-says-paid; gives an order in a language other than English that has no payment terms Shopify's "Due on receipt" terms just before its first reminder, so Shopify's email shows a date; and, only if you switch cancelling on, cancels an unpaid, unfulfilled order on the date its last reminder named, restocking the items and letting Shopify email the customer its cancellation notice. You can also cancel an order yourself from the app after its last reminder. Quotes are never cancelled.

Accuracy, and what you are responsible for

ReminderClerk decides from your Shopify records and re-reads each order from Shopify just before a reminder or a cancellation. It cannot see what Shopify has not been told:

  • A payment is known once Shopify knows it. A customer who paid by bank transfer is still unpaid in Shopify until the order is marked paid, by you or an app. The first reminder waits until day 3 by default, every reminder says to ignore it if already paid, and "I've already paid" pauses the rest — but marking the payment in Shopify is your action.
  • Your choices are followed. Which payment methods are chased, the days and hours, the wording you write, your bank details and whether cancelling is on are yours to set and check. What a reminder asks your customer to do, and where it asks them to send money, is text you approved.
  • Shopify sends the email. Delivery, the layout around your text and the sender address are Shopify's. We recommend authenticating your sender email in Shopify.

We are not liable for losses arising from a reminder sent while Shopify showed the order as unpaid, from the wording, bank details or settings you chose, or from a cancellation made under the cancelling setting you switched on or that you asked for.

We do not warrant that the service will be uninterrupted or error-free, and the service is otherwise provided "as is" to the extent the law allows.

Your account and your data

Your data — settings, the records of your unpaid orders, the send log — belongs to you. We process it to run the service for you, as described in the privacy policy, which forms part of these terms.

For your customers, you are the data controller and we act as your processor. For that processing the data processing agreement applies and forms part of these terms; where the two conflict on a data-protection matter, the agreement prevails. You are responsible for having a lawful basis to remind your customers about their orders, and for telling them what you do with their data where the law requires it.

We do not sell your data, use it for advertising, or use it to train any model. There is no AI provider in the service.

Plan and billing

  • One plan: $14.99 per month, every feature, unlimited orders, charged every 30 days through Shopify's billing system and shown on your Shopify invoice.
  • Trial. Your store's first subscription starts with a 14-day free trial. A store that cancels and subscribes again does not get a second trial. Uninstall during the trial and you pay nothing.
  • No plan, no reminders. Reminders go out only while the plan (or the trial) is active. If it ends, reminders pause and resume when you choose the plan again; nothing is lost.
  • Changes to price. We may change the price with at least 30 days' notice in the app or by email.
  • Refunds. The trial exists so you can judge the service on your own store before paying. We do not offer routine refunds for time already subscribed. If something on our side went wrong and cost you money, write to us.
  • Taxes are handled by Shopify as part of its billing.

Acceptable use

Don't use ReminderClerk to:

  • remind people about orders they did not place, or send marketing or promotions through it;
  • attempt to extract, reverse-engineer or resell the service;
  • probe other stores' data, abuse the payment pages, or degrade the service for others; or
  • break the law, or Shopify's terms, with it.

We may suspend an account that is doing any of these. Where we can, we will contact you first.

Availability and support

We aim to keep ReminderClerk running continuously and do not offer a contractual uptime guarantee. Reminders go out at a steady pace, at most four emails per store every ten minutes, and never more than one a day to the same customer; if Shopify asks the app to slow down, it waits and tries again. A reminder that could not go out on its day goes out on the next sending day.

Support is by email at support@reminderclerk.com, answered within one business day (Monday to Friday, European hours).

Changes to the service

ReminderClerk will change. We may add, alter or remove features. If we remove something you materially depend on, or make a change that significantly reduces the service, we will tell you in the app or by email, and you may cancel.

Ending it

  • You can uninstall ReminderClerk from your Shopify admin at any time. That cancels the subscription through Shopify, stops all sending, immediately revokes our access to your store, and starts the deletion described in the privacy policy. Reminders already sent remain with the people who received them, and the tags the app wrote stay on your orders until you remove them.
  • We may end or suspend your access for a serious or repeated breach of the acceptable-use section, or if required by law or by Shopify. Except where the breach makes it inappropriate, we will give notice and a chance to put it right.

Liability

Nothing in these terms limits or excludes liability where the law does not allow it to be limited or excluded.

Subject to that: neither party is liable for indirect or consequential loss, loss of profit, loss of business or loss of goodwill. Our total liability arising from the service, in aggregate, is limited to the greater of the fees you paid us in the 12 months before the claim arose, or 100 US dollars.

Relationship with Shopify

ReminderClerk is a third-party application. Shopify is not a party to these terms, provides no warranty for ReminderClerk, and is not liable for it. Your use of Shopify is governed by Shopify's own terms, which take precedence over these for anything concerning the Shopify platform itself.

Law

These terms are governed by the laws of the Republic of Lithuania, and the courts of Lithuania have jurisdiction. If you deal with us as a business in another country, this does not remove any right you have under the mandatory law of your own country where such law applies.

Changes to these terms

If these terms change materially, we will note it here with a new effective date and flag it in the app. Continuing to use ReminderClerk after a change means you accept the updated terms; if you do not, uninstall.
